Definitions and Interpretations

Definitions

“Proposal” means a separate document giving details of the Services to be provided by the Company to the Client and their mutual obligations.

“Project” means the Services and all other activities to be undertaken by the Company on behalf of the Client.

“Contract” means an agreed and signed copy of the Proposal and these Terms and Conditions.

“Company” means SEO Agency Plus, 15 Av. Hassan II, Rabat, Morocco.

“Client” means a Company or individual to whom the Company is contracted to provide the Services.

“Services” means the work and other activities to be undertaken by the Company during the period in which the Company is contracted to provide Services to the Client.

“Intellectual Property” means all patents, rights to inventions, utility models, copyright and related rights, trade marks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database rights, topography rights, moral rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, whether registered or unregistered, including all applications, renewals, or extensions.

By accepting a Proposal, making use of the Services, or making payment for the Services supplied, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.

Words importing one gender shall include all other genders, and words importing the singular shall include the plural and vice versa. References to statutory provisions include any amendments or replacements.

Outline of Contract

This document details the Terms and Conditions agreed between the Parties for the design, development, or delivery of a Project or Service offered to the Client by the Company.

Detailed Project Specification

The Parties have agreed to a detailed Project specification as defined in the Proposal.

Any amendments must be made in writing and agreed upon by both Parties. Updates such as text, image, or video changes will be completed within five (5) working days unless otherwise stated. Additional work beyond this period will be chargeable at the Company’s standard hourly rate.

The Client is responsible for conducting market research to assess the viability and profitability of the Project. SEO Agency Plus will not be liable for Projects deemed non-commercially viable after work has begun.

Fees and Payment

The Client will pay the agreed fees on delivery of the Project or as per the payment schedule in the Proposal. All invoices include applicable taxes.

If the Client fails to provide necessary content and the Project is not completed within six (6) months, full payment is required. Projects will only continue once all required content is received.

If content is not received within twelve (12) months from the Project start date, the Company reserves the right to redevelop aspects deemed obsolete, with any costs charged to the Client.

Payment methods include bank transfer, cash, cheque, or other agreed methods. The Company may charge for any transfer-related fees. Payments must be made in full within thirty (30) days unless otherwise agreed.

Returned cheques incur additional fees. Overdue payments may accrue interest at a rate defined in the Proposal or as per Moroccan law. Litigation costs to collect overdue debts will be payable by the Client.

SEO Agency Plus reserves the right to remove Client materials from computer systems until overdue payments are settled, including but not limited to hosting, domain registration, SEO submission, design, maintenance, subcontractors, and other resources.

For Projects involving multiple development milestones, payment is required upon completion of each milestone as defined in the Proposal or agreed in writing.

Deposits required must be cleared before Project commencement. Credit terms may be adjusted at any time. Prices may change without prior notice. Original quotations remain valid for 30 days, after which additional work may be charged at the new rate. All Projects are subject to a minimum charge.

Intellectual Property

All content, design, graphics, code, software, and materials created or supplied by SEO Agency Plus remain the property of the Company unless explicitly agreed otherwise in writing.

The Client is granted a limited, non-exclusive license to use the deliverables for their intended purpose only.

Unauthorized use, reproduction, or distribution of intellectual property is strictly prohibited and may result in legal action.

Confidentiality

Both Parties agree to maintain confidentiality regarding any proprietary, sensitive, or confidential information shared during the course of the Project.

Confidential information includes, but is not limited to, business strategies, marketing plans, financial information, trade secrets, and client data.

This obligation continues even after the termination of the Contract.

Limitation of Liability

SEO Agency Plus will provide professional services with reasonable skill and care; however:

The Company does not guarantee specific results, rankings, or outcomes. SEO performance depends on search engine algorithms and market conditions.
The Company is not liable for indirect, incidental, or consequential damages arising from the use of the Services.
Clients are responsible for reviewing content and strategies and making their own business decisions.

Termination and Suspension of Services

Either Party may terminate the Contract by providing written notice.

Termination does not affect accrued rights, including payment for services already rendered.

SEO Agency Plus reserves the right to suspend or terminate Services immediately if the Client breaches these Terms.

Third-Party Links and Services

SEO Agency Plus may provide links to third-party websites, services, or tools.

The Company is not responsible for the content, accuracy, or practices of third-party websites and advises Clients to review their terms and privacy policies.

Force Majeure

The Company is not liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, technical failures, internet disruptions, strikes, or legal/regulatory changes.

Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of Morocco.

Any disputes arising from these Terms or the use of SEO Agency Plus’s website or Services shall be subject to the exclusive jurisdiction of Moroccan courts.

Amendments to Terms

SEO Agency Plus reserves the right to modify these Terms and Conditions at any time.

All changes will be posted on this page, and continued use of the website or Services constitutes acceptance of the updated Terms.
